Company Policy on Use of Company Property, Conduct, and Non-Solicitation

This document sets out the policies governing the use of company property, conduct expectations, and restrictions on solicitation, designed to complement existing contractor and employment agreements. All staff, contractors, volunteers, and interns (hereafter referred to as ‘Workers’) must adhere to these guidelines to protect company assets, reputation, and legal interests.
1. Purpose and ScopeThis policy aims to establish clear rules regarding the appropriate use of company property, conduct standards, and restrictions on solicitation activities. It applies to all Workers engaged with TWP Club in any capacity. This policy does not form part of individual employment or contractor agreements but serves as an overarching standard to ensure consistent and lawful conduct.
Breaches of this policy may lead to disciplinary action, including termination of employment or engagement, irrespective of existing contractual terms.
2. Use of Company Property‘Company property’ includes all tangible assets such as tools, vehicles, equipment, IT systems, data lists, client contact details, and industry contacts (including builders and partners). It also encompasses confidential information and intellectual property.
Workers must:
Use property solely for work-related purposes or tasks authorised by the company.Maintain the condition of equipment and IT systems, servicing or repairing as required.Obtain prior written approval for any modifications or non-work use.Not remove company property without explicit permission.Take reasonable precautions to prevent loss, theft, or damage.Use property in accordance with operating procedures, law, and company policies.Avoid using company property for illegal, offensive, or discriminatory purposes.Immediately report the loss of licenses, permits, or relevant certifications.Maintain the confidentiality of all proprietary information, both during and after engagement with the company.3. Conduct & Behaviour StandardsAll Workers are expected to act professionally, ethically, and lawfully. Specifically, Workers must not:
Use company property or assets to bully, harass, or discriminate.Send offensive, defamatory, or inappropriate communications using company systems or on behalf of the company.Engage in activities that could damage the company’s reputation or relationships with clients, suppliers, or partners.Share confidential or proprietary information externally unless authorised and in accordance with company policies.Conduct business or activities that create a conflict of interest with the company, including direct solicitation of clients, contractors, or partners. 4. Non-Solicitation of Clients, Contractors, and DevelopersWorkers are strictly prohibited from directly or indirectly soliciting, approaching, or engaging with the company’s clients, contractors, or development partners for personal or third-party gain during engagement and for a period of 12 months after termination. This includes encouraging clients or contacts to switch providers, bypassing the company’s services. Any breach may result in legal action and damages.
Similarly, Workers must not solicit or influence the company’s contractors, builders, or developers to leave or alter their engagement outside of the company’s processes. Doing so undermines our business relationships and will be regarded as a serious breach of conduct.
5. Non-Solicitation of Employees and Internal StaffWorkers shall not solicit, recruit, or attempt to entice away any employee or internal staff member for employment or contractual work outside the company during their engagement or within a 12-month period after termination. Such behaviour will be viewed as a breach of this policy and may lead to disciplinary action.
6. Sales & Business Development RestrictionsWorkers involved in sales or business development activities must adhere to strict ethical standards. They shall not:
- Engage in aggressive cold-calling or unsolicited marketing tactics that could damage the company’s reputation.- Use confidential or proprietary client information for personal or third-party benefit.- Induce or encourage existing clients or contacts to leave the company for personal or third-party gain.- All sales-related initiatives must be approved in advance and conducted in accordance with professional and legal standards.
7. Confidentiality & Intellectual PropertyAll confidential information and intellectual property obtained or created during engagement are the exclusive property of the company. Workers must not use or disclose this information outside the scope of their roles, both during and after their engagement, without explicit written consent. Upon termination, all proprietary information must be returned, and unauthorised copies must be permanently deleted from personal devices.
8. Return of Property & Disposition of AssetsUpon termination of engagement, Workers are required to return all company property promptly, including physical assets, access credentials, and confidential information, in good condition. Any outstanding sums owed to the company must be settled immediately.
9. Breach and Disciplinary ActionsAny breach of this policy may result in disciplinary action, including verbal or written warnings, suspension, or termination of employment or engagement. Legal action may also be pursued for breaches involving misappropriation, theft, or unlawful solicitation.
10. Variations & Reviewing the PolicyThis policy is subject to review and alteration by the company. It remains in place until further notice.
